Registration is available onsite. On the day of the sale all purchases must be paid in full or a mandatory 25% deposit is due at time of purchase. PAYMENT IS DUE IN FULL THE FOLLOWING DAY BY NOON.

PROXY BIDDERS:
If you are unable to attend our auction or participate via the internet, please fill out, sign and fax back the BIDITUP Terms and Conditions contract.

A 25% deposit of your total maximum bid(s) will need to be submitted to BIDITUP Auctions Worldwide, Inc. for your proxy bid approval.

If you are using a credit card for your deposit, please fill out, sign and fax the credit card authorization form to our office with the 25% amount of your desired credit limit in the ‘Amount’ box.  See other methods below.

SPECIAL INSTRUCTIONS & TERMS:

E-COAT SYSTEM REMOVAL TERM FOR BIDDERS:

The Assets are sold to Buyer on an "as is, where is" basis, without any representations or warranties as to condition, operation or sufficiency whatsoever. OWNER HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO THE ASSETS. OWNER FURTHER DISCLAIMS ANY AND ALL WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, IT BEING AGREED THAT BUYER IS TAKING TITLE TO THE ASSETS WITHOUT ANY REPRESENTATIONS OR WARRANTIES SAVE THOSE EXPRESSLY SET FORTH HEREIN.

Buyer is responsible for the removal and transportation of the E-Coat Line or its component parts from the Owner’s plant. The following delineates the responsibilities of the Owner and Buyer for the removal of the Assets:

a. Owner:
i. Provide unencumbered access to the facility Monday to Friday from 8 AM to 5 PM for the duration of the removal.
ii. Provide outside staging area for the equipment removed from the facility for purposes of marshalling loads for shipment.
iii. Provide Buyer with a separate entry/exit gate from the Seller’s flatbed trailer manufacturing operations to facilitate efficient movement of loads.
iv. Provide 110 Volt, single-phase power for operation of equipment common to use by a rigging crew.
v. Provide interior lighting normal to operation of the E-Coat plant.
vi. Drain all fluids from the E-Coat System components (i.e. paint, oil and other fluids) and leave in dry condition, which includes purging of water and gas lines and service lines for waste treatment equipment interconnection.
vii. Retain responsibility for removal of all hazardous waste associated with the E-Coat Line or component part removal.
viii. Disconnect and lock out all utilities to equipment including air, water, gas and electricity.
ix. Provide clear access to the equipment to be removed appropriate for the removal process.
x. Provide egress paths for equipment and tools.
xi. Fill any pits resulting after removal of the equipment.
xii. Provide reasonable security during the period of Asset removal.
xiii. E-Coat exterior wall is to be replaced by Seller.

b. Buyer and/or removal crew:
i. Provide a commercial general liability insurance policy with coverage of $1,000,000 per occurrence, and add Owner and Biditup as additional insured and loss payee; Buyer to provide Owner and Biditup with certificate of insurance to that effect before Asset removal begins.
ii. Agree to hold Owner harmless for any loss, damage or destruction of the Property and /or Premises unless the result of the gross negligence of Owner, and will indemnify, defend and hold the Owner harmless from and against any such loss, damage or destruction, unless the result of the gross negligence of the Owner.
iii. Work in a professional and cooperative manner with all Owner’s resident employees and representatives on the Premises.
iv. Provide Owner notice for any scheduled removal work to be done on the weekend to make the necessary preparation, as Owner’s current plant workweek is Monday through Friday.
v. Provide all the rigging equipment necessary to remove the Assets from the building.
vi. Provide any compressed air required for tools to remove the Assets.
vii. Advise Owner in advance how many 110-volt lines the removal crew requires to operate their equipment. Maintain the work place in a clear and safe condition commensurate with the normal removal functions throughout the removal process, including reasonable cleaning of floors during the removal, blocking off access to areas in which large equipment is in operation, as.
